(Web User Agreement)

1. Introduction

Welcome to Nix Studios ("Company", "we", "our", "us"). These Terms and Conditions ("Terms") govern your use of our public website located at www.nixstudios.net (the "Site") and our secure artist interface located at portal.nixstudios.net (the "Portal").

By accessing or using our Portal, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access the services.

2. The Artist Portal (Portal Specifics)

Access to portal.nixstudios.net is restricted to signed artists, managers, and authorized personnel ("Authorized Users").

2.1 Account Security
You are responsible for maintaining the confidentiality of your login credentials (email and password). You agree to accept responsibility for all activities that occur under your account. If you believe your account has been compromised, you must notify us immediately at support@nixstudios.net.

2.2 Data Confidentiality
The Portal contains sensitive financial and contractual data. You agree not to disclose, share, or publish revenue data, contract terms, or internal memos found within the Portal to any third party without prior written consent from Nix Studios, except to your legal or financial advisors.

2.3 Nature of Portal Data
The data displayed on the Portal (including "Total Revenue," "Streams," and "Monthly Reports") is provided for informational and convenience purposes only.

• Delays: You acknowledge that streaming data and royalty revenue are reported by Digital Service Providers (DSPs) such as Spotify and Apple Music with a delay of 45-90 days.

• Discrepancies: In the event of a discrepancy between the data displayed on the Portal and your official semi-annual or monthly Royalty Statement issued by our accounting department, the official Royalty Statement shall prevail.

3. Intellectual Property

3.1 Company IP
The content on www.nixstudios.net (including text, graphics, logos, and software) is the property of Nix Studios and is protected by copyright and other intellectual property laws.

3.2 Artist IP
Your rights regarding the music, artwork, and recordings listed in the "Songs" and "Contracts" tabs of the Portal are governed by the specific Recording Agreement or Distribution Agreement signed between you and Nix Studios. Nothing in these website Terms overrides the specific terms of your signed contract.

4. User Inquiries and Meeting Requests

By submitting data through our "Support" forms or "Meeting Request" tools:

• You represent that the information provided is accurate.

• You acknowledge that meeting requests are subject to confirmation and are not guaranteed until you receive a confirmation email or calendar invite.

5. Prohibited Activities

You may not access or use the Site or Portal for any purpose other than that for which we make the Site available. You agree not to:

• Systematically retrieve data or other content from the Site to create a compilation, database, or directory without written permission.

• Attempt to bypass any measures of the Site designed to prevent or restrict access to the Site, or any portion of the Site.

• Harass, annoy, intimidate, or threaten any of our employees or agents engaged in providing any portion of the Site to you.

6. Limitation of Liability

To the fullest extent permitted by law, Nix Studios shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Site or Portal;

• Any errors or omissions in the data displayed on the Portal (including manual entry errors in Monthly Reports);

• Any unauthorized access to our servers and/or any personal information stored therein.

7. Termination

We may terminate or suspend your account and bar access to the Portal immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

8. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Site or Portal after those revisions become effective, you agree to be bound by the revised terms.
